This Client Engagement Policy (“Policy”) defines the standards, processes, and obligations for all engagements between NBR. Company Ltd. (“NBR”, “we”, “our”, “us”) and its clients (“Client”, “you”). It ensures that every engagement is executed with precision, discretion, and operational excellence, reflecting NBR’s elite positioning across technology, consulting, financial, and cybersecurity domains.
1. Purpose
The purpose of this Policy is to:
- Establish clear expectations for client onboarding, project execution, and communication.
- Define the roles and responsibilities of both NBR and the Client.
- Ensure consistent quality, compliance, and confidentiality across all engagements.
- Protect the interests of both parties while delivering measurable, actionable results.
2. Scope
This Policy applies to:
- All corporate, institutional, and individual clients of NBR.
- All types of services, including consulting, advisory, technology, cybersecurity, financial, and e-commerce engagements.
- Any engagement conducted via digital platforms, in-person consultations, or hybrid models.
3. Engagement Initiation
3.1 Inquiry and Proposal
- Clients may submit inquiries via official NBR channels.
- NBR evaluates each inquiry for alignment with its expertise, resource availability, and risk profile.
- A formal proposal or statement of work (SOW) will be provided for all approved engagements, outlining scope, deliverables, fees, timelines, and access levels.
3.2 Client Onboarding
- Clients must provide accurate and complete information, including corporate documentation, KYC/AML data (if applicable), and point-of-contact details.
- NBR assigns a dedicated account or project manager to oversee the engagement.
- Confidentiality agreements or NDAs may be executed prior to sharing proprietary methodologies, systems, or intellectual property.
4. Roles and Responsibilities
4.1 NBR Responsibilities
- Deliver services according to the agreed scope, timeline, and quality standards.
- Maintain strict confidentiality and adhere to all applicable data protection regulations.
- Provide regular updates, progress reports, and recommendations to ensure informed decision-making.
- Ensure that all personnel involved are qualified, vetted, and compliant with internal and regulatory standards.
4.2 Client Responsibilities
- Provide timely, accurate, and complete information required for service delivery.
- Facilitate access to relevant systems, personnel, and documentation.
- Respond promptly to NBR requests for approvals, decisions, or clarifications.
- Ensure compliance with all applicable laws and internal policies during the engagement.
5. Communication and Reporting
- NBR commits to structured, transparent communication with the Client.
- Progress reports, dashboards, or data summaries will be shared at agreed intervals.
- Sensitive or confidential matters are communicated via secure channels.
- Escalation procedures are defined in the engagement agreement to resolve disputes or issues efficiently.
6. Engagement Changes
- Any modification to scope, deliverables, timeline, or fees must be documented and approved by both parties.
- Change requests are evaluated for operational impact, risk, and resource allocation.
- Unauthorized changes may result in delays, additional fees, or suspension of the engagement.
7. Confidentiality and Data Security
- All client information, intellectual property, and communications are treated as strictly confidential.
- NBR employs advanced security protocols, encryption, and access controls to safeguard client data.
- Confidentiality obligations survive the termination of the engagement indefinitely.
8. Fees and Payment Terms
- Fees are defined in the engagement contract, proposal, or SOW.
- Clients must pay in accordance with agreed schedules and currency.
- Late payments may result in suspension of services, interest charges, or other remedies outlined in the engagement agreement.
9. Termination
- Either party may terminate the engagement in accordance with terms defined in the contract.
- Upon termination:
- All rights and licenses granted to the Client are revoked.
- Clients must return or destroy NBR proprietary materials and confidential information.
- Outstanding fees and obligations remain payable.
10. Dispute Resolution
- NBR and the Client will attempt to resolve disputes amicably via negotiation or mediation.
- If unresolved, disputes will be subject to arbitration under Brazilian law unless otherwise agreed.
- Exclusive jurisdiction for legal proceedings will be Brasília, DF, Brazil.
11. Compliance
- Engagements must comply with all applicable laws, regulations, and industry standards.
- Clients must cooperate with NBR in meeting regulatory requirements, including KYC, AML, cybersecurity, and data protection obligations.
12. Amendments
- NBR reserves the right to update or modify this Policy at any time.
- Updated versions will be communicated to clients and posted on NBR’s official channels.
- Continued engagement constitutes acceptance of the revised Policy.
