This Confidentiality & Non-Disclosure Policy (“Policy”) establishes the obligations, standards, and procedures that apply to NBR. Company Ltd. (“NBR”, “we”, “our”, “us”), its clients, partners, employees, contractors, and affiliates to ensure the protection of confidential and proprietary information exchanged during the course of business.

By engaging with NBR or entering into any form of contractual relationship, you acknowledge and agree to the confidentiality obligations outlined in this Policy.

2. Definition of Confidential Information

“Confidential Information” includes, but is not limited to:

  • Business strategies, roadmaps, plans, and projections.
  • Proprietary methodologies, frameworks, and research.
  • Intellectual property, including software code, automation scripts, AI models, and system architecture.
  • Client data, contracts, financial records, and operational information.
  • Security systems, risk assessments, and infrastructure details.
  • Trade secrets, business opportunities, and market intelligence.
  • Any non-public information disclosed orally, in writing, electronically, or through any other medium.

Confidential Information does not include:

  • Information already in the public domain.
  • Information lawfully obtained from third parties without restriction.
  • Information independently developed without reliance on NBR’s Confidential Information.

3. Obligations of Confidentiality

All parties subject to this Policy agree to:

  • Maintain strict confidentiality of all Confidential Information.
  • Use Confidential Information solely for the purpose it was disclosed.
  • Not disclose, share, or publish Confidential Information without prior written authorization from NBR.
  • Restrict access to Confidential Information only to individuals with a legitimate business need-to-know basis.
  • Protect Confidential Information with commercially reasonable security measures, including digital encryption, access controls, and secure storage.

4. Non-Disclosure Requirements

  • Confidential Information must not be:
  • Discussed in public forums, including conferences, events, or social media.
  • Transmitted through unsecured or unauthorized communication channels.
  • Copied, reproduced, or modified except as necessary for the agreed engagement.
  • If compelled by law or regulation to disclose Confidential Information, the receiving party must promptly notify NBR in writing before disclosure (unless legally prohibited).

5. Data Protection and Security

  • NBR enforces enterprise-grade cybersecurity standards to safeguard Confidential Information, including encryption, access monitoring, and intrusion detection.
  • All parties must comply with applicable privacy and data protection regulations (e.g., GDPR, LGPD, CCPA).
  • Unauthorized access, transfer, or breach of Confidential Information will trigger incident response procedures and may result in legal action.

6. Duration of Obligations

  • Confidentiality obligations begin from the moment Confidential Information is disclosed.
  • Unless otherwise agreed in writing, obligations continue indefinitely, even after termination of contracts, engagements, or relationships with NBR.

7. Intellectual Property Rights

  • Disclosure of Confidential Information does not grant any license, ownership, or intellectual property rights unless explicitly stated in a signed agreement.
  • All proprietary frameworks, research, technology, and methodologies disclosed remain the exclusive property of NBR.

8. Enforcement and Remedies

  • Breach of this Policy may result in disciplinary action, contract termination, financial liability, or legal proceedings.
  • NBR reserves the right to seek injunctive relief, damages, or other remedies under applicable law to protect its Confidential Information.

9. Acknowledgment

By engaging with NBR, clients, employees, contractors, and partners explicitly acknowledge and accept their responsibilities under this Confidentiality & Non-Disclosure Policy.
