This Consulting & Advisory Policy (“Policy”) outlines the framework, responsibilities, and obligations governing all consulting, advisory, and strategic services provided by NBR. Company Ltd. (“NBR”, “we”, “our”, “us”) to clients, partners, or members (“Client”, “you”). By engaging NBR’s consulting or advisory services, you agree to comply with this Policy in full.
1. Purpose
The purpose of this Policy is to:
- Define the scope and limitations of NBR consulting and advisory services.
- Ensure clarity regarding deliverables, responsibilities, and professional standards.
- Establish operational procedures, confidentiality requirements, and compliance expectations.
- Protect both clients and NBR through clearly defined roles, obligations, and risk management.
2. Scope of Consulting & Advisory Services
NBR provides multi-industry consulting and advisory services, including but not limited to:
- Technology & IT Consulting: AI, automation, cloud infrastructure, and systems integration.
- Cybersecurity Advisory: Risk assessment, digital asset protection, compliance frameworks, and incident response planning.
- Financial & Banking Advisory: Capital structuring, investment planning, corporate finance, and banking consultancy.
- Strategic & Business Consulting: Market entry, mergers & acquisitions, operational efficiency, and business transformation.
- Insurance & Risk Management Consulting: Tailored strategies for risk mitigation, sustainability, and asset security.
- E-commerce & Digital Media Advisory: Brand ecosystems, market positioning, digital strategy, and automation.
3. Client Engagement
- Engagements are initiated via formal agreement, statement of work, or contract detailing scope, deliverables, timelines, fees, and obligations.
- Clients must provide accurate, complete, and timely information relevant to the engagement.
- NBR reserves the right to decline or suspend engagements if client data, cooperation, or conduct does not meet professional or legal standards.
- All engagements are subject to compliance with local and international laws applicable to the services provided.
4. Responsibilities of NBR
- Deliver services with professional diligence, expertise, and precision.
- Provide clear, actionable recommendations supported by data, research, and analysis.
- Maintain confidentiality and discretion at all times.
- Align deliverables with agreed timelines, budgets, and strategic objectives.
- Identify risks, gaps, or compliance issues and advise clients on mitigation strategies.
5. Responsibilities of Clients
- Supply necessary information, documentation, and access to personnel as reasonably requested.
- Comply with applicable laws, regulations, and contractual obligations during engagements.
- Act upon NBR recommendations at your own discretion; NBR does not assume liability for client decisions made based on advisory input.
- Ensure internal approvals and authorizations are in place to execute recommendations provided by NBR.
6. Confidentiality & Non-Disclosure
- NBR maintains strict confidentiality of all client information shared during the course of consulting or advisory services.
- Clients must also protect proprietary or confidential methodologies shared by NBR.
- Confidentiality obligations extend indefinitely beyond the termination of any engagement.
- NDAs may be executed as required for sensitive or high-value engagements.
7. Deliverables and Limitations
- Deliverables may include reports, analyses, recommendations, workflows, frameworks, and implementation strategies.
- NBR provides guidance and professional expertise; the final decision-making and implementation remain the client’s responsibility unless otherwise agreed.
- Advisory services do not constitute legal, tax, investment, or regulatory advice unless explicitly stated in writing.
8. Fees, Billing, and Payments
- Fees are defined in formal agreements, proposals, or statements of work.
- Invoicing and payment schedules are outlined in engagement documents.
- Late payments may result in suspension of services, additional charges, or termination of engagement.
- All fees are exclusive of applicable taxes, duties, or tariffs unless explicitly stated.
9. Conflict of Interest
- NBR maintains strict independence in all consulting engagements.
- Clients must disclose any potential conflicts of interest that could impact the engagement.
- NBR reserves the right to decline or terminate engagements where a material conflict of interest is identified.
10. Risk Management
- NBR adheres to a structured risk management framework, identifying operational, financial, and strategic risks in all engagements.
- Clients are responsible for implementing recommendations and managing associated risks within their organization.
- NBR disclaims liability for business, operational, or financial outcomes resulting from client decisions based on advisory input.
11. Termination
- Engagements may be terminated by either party according to the terms of the signed contract or statement of work.
- Upon termination, clients must return or destroy all confidential materials and proprietary deliverables unless otherwise agreed.
- NBR may terminate engagements immediately in cases of non-compliance, breach of contract, or unethical conduct.
12. Dispute Resolution
- Disputes will first be addressed through good faith negotiation.
- If unresolved, disputes will be resolved through binding arbitration in accordance with Brazilian arbitration law.
- Jurisdiction for all matters shall be Brasília, DF, Brazil, unless otherwise agreed in writing.
13. Governing Law
- This Policy is governed by and construed in accordance with the laws of Brazil, without regard to conflict-of-law principles.
14. Policy Updates
- NBR reserves the right to update or amend this Policy at any time.
- Updated versions will be communicated to clients and will be effective immediately upon publication.
