This Intellectual Property & Licensing Policy (“Policy”) governs the use, ownership, licensing, and protection of all intellectual property (“IP”) associated with NBR. Company Ltd. (“NBR”, “we”, “our”, “us”), including but not limited to software, frameworks, designs, methodologies, AI models, automation tools, documentation, trademarks, and other proprietary assets (collectively, “Intellectual Property”). By accessing NBR Services or engaging with NBR deliverables, you agree to comply with this Policy.
1. Ownership of Intellectual Property
- All IP created, developed, or provided by NBR remains the exclusive property of NBR.
- IP includes, without limitation:
- Software, source code, and algorithms.
- Methodologies, frameworks, and processes.
- Research, reports, studies, and analyses.
- Branding, trademarks, logos, and designs.
- AI models, automation scripts, and data-driven tools.
- No transfer of ownership occurs unless expressly documented in a signed agreement.
2. Licensing Terms
- NBR grants clients a limited, non-exclusive, non-transferable, revocable license to use IP solely for internal business purposes as defined in client agreements.
- Unauthorized distribution, resale, sublicensing, or replication of NBR IP is strictly prohibited.
- Modifying, reverse-engineering, decompiling, or disassembling NBR IP without written consent is forbidden.
3. Use of IP by Clients
- Clients may use licensed IP only in accordance with the terms of engagement and for the purposes explicitly outlined in agreements or statements of work.
- Use of IP outside the scope of the license constitutes a material breach of this Policy and may result in legal action.
- Clients must implement reasonable measures to safeguard NBR IP from unauthorized access or misuse by employees, contractors, or third parties.
4. Protection of NBR IP
- NBR actively enforces its rights through legal, technical, and operational measures.
- Clients must promptly report any suspected infringement, unauthorized use, or theft of NBR IP.
- NBR reserves the right to take legal action against individuals or entities that violate IP rights.
5. Third-Party Intellectual Property
- Some NBR Services may incorporate third-party software, libraries, or assets.
- Use of third-party IP is governed by the licensing terms of the respective owners.
- Clients are responsible for compliance with any third-party licensing requirements.
6. Trademarks and Branding
- All NBR branding, logos, and trademarks are the sole property of NBR.
- Unauthorized use of NBR trademarks or branding is prohibited.
- Clients or partners must obtain written permission prior to any reproduction, display, or commercial use of NBR trademarks.
7. Confidentiality & Trade Secrets
- NBR IP often incorporates trade secrets and proprietary knowledge.
- Clients must maintain confidentiality of all non-public IP and may not disclose it to third parties without prior written consent.
- Confidentiality obligations survive the termination or expiration of service agreements.
8. Termination and Revocation
- Upon termination of an engagement, all licenses to NBR IP immediately cease.
- Clients must return or destroy all copies of NBR IP, including digital files, documentation, and derivatives.
- Unauthorized retention or use of IP after termination may result in legal action and claims for damages.
9. Indemnification
- Clients agree to indemnify and hold harmless NBR, its officers, employees, and affiliates from claims, damages, or liabilities arising from misuse or unauthorized distribution of NBR IP.
10. Governing Law
- This Policy is governed by the laws of Brazil, without regard to conflict-of-law principles.
- Any disputes arising from the use, licensing, or infringement of NBR IP shall be resolved in accordance with NBR dispute resolution procedures.
11. Modifications
- NBR reserves the right to update or modify this Policy at any time.
- Changes will be effective upon publication on NBR’s official platforms.
- Continued use of NBR Services constitutes acceptance of updated terms.
